These Terms & Conditions ("Terms") govern your use of the Forma website and the services we provide. By accessing our site or engaging us for work, you agree to these Terms. If anything is unclear, reach out — we'd rather explain than leave you guessing.
Definitions
Forma, "we," "us," or "our" refers to Forma Studio, the service provider.
"Client," "you," or "your" refers to the individual or company engaging our services.
"Services" includes brand identity design, UX/UI design, Webflow & Framer development, and any other deliverables outlined in a project proposal or statement of work.
"Deliverables" means the final design files, builds, documentation, or other outputs specified in a project agreement.
Services
We provide design and development services as described in individual project proposals, scopes of work, or statements of work (SOW). The specific services, timelines, deliverables, and fees for each engagement will be agreed upon in writing before work begins.
Any changes to the agreed scope may require a revised proposal or change order.
We reserve the right to decline projects that fall outside our expertise or availability.
Unless otherwise agreed, all work is provided as a service, not as a transfer of underlying tools or proprietary methodologies.
Project Process & Timelines
We follow a structured process — discovery, strategy, design, development, and launch — as outlined in your project agreement. Timelines are estimates based on the scope and your responsiveness.
Delays in feedback, content, or approvals may extend project timelines.
We'll communicate any timeline changes as early as possible.
Rush timelines may require additional fees or adjusted scope.
Payments & Fees
Project fees are defined in the proposal or SOW. Unless stated otherwise, a non-refundable deposit is required to secure your slot and begin work.
Deposits: 50% upfront for most projects; milestone payments as defined in the agreement.
Invoices: Payment is due within 7 days of invoice date unless otherwise stated.
Late payments: Work may pause if invoices remain unpaid beyond 14 days.
Taxes: Applicable taxes will be added where required by law.
Revisions & Feedback
Each project includes a defined number of revision rounds as outlined in the SOW. We build feedback into structured milestones to keep momentum strong.
Revisions must be consolidated and provided within the agreed feedback window.
Additional revision rounds beyond the agreed scope may incur additional fees.
Major changes outside the original scope will be treated as a new work order.
Intellectual Property
Upon full payment, you receive ownership rights to the final deliverables created specifically for your project. This includes final design files and the built website or product.
We retain ownership of pre-existing tools, templates, frameworks, and internal methodologies used during the project.
We reserve the right to display the work in our portfolio, case studies, and social channels — unless a signed NDA states otherwise.
You may not resell, redistribute, or sublicense our proprietary tools or templates without written permission.
Confidentiality
We respect the confidentiality of your business information. Any proprietary information you share with us during a project — including business strategies, product details, and user data — will be kept private and used only for the purpose of delivering our services.
We're happy to sign a mutual NDA before conversations begin, if needed.
We don't share project details with third parties unless required for delivery (e.g., hosting setup) or by law.
Client Responsibilities
Great work requires collaboration. To keep projects moving smoothly, we ask that you:
Provide clear, timely feedback.
Deliver required content, assets, and approvals on schedule.
Designate a single point of contact for decisions.
Ensure you have the rights to any materials you provide us.
Delays in any of these may impact project timelines.
Warranties & Limitations
We guarantee that all work will be delivered with professional skill and care. However, we cannot guarantee specific business outcomes, such as conversion rates, revenue, or user growth, as these depend on factors beyond our control.
We're not liable for third-party platform changes (e.g., Webflow, Framer, hosting providers) that affect the project after launch.
Our total liability is limited to the fees paid for the specific project.
You are responsible for maintaining backups, hosting, and any third-party integrations after handoff.
Termination
Either party may terminate an engagement with written notice if the other party materially breaches the terms of the agreement and fails to resolve the issue within 14 days.
Upon termination, you agree to pay for all work completed up to that point.
Any unpaid invoices remain due immediately.
We will deliver all work completed and paid for up to the termination date.
Refund Policy
Deposits are non-refundable once work has begun. If we have not started your project and you choose to cancel, the deposit may be refunded at our discretion.
Completed milestones are non-refundable.
If we are unable to complete the project due to unforeseen circumstances, a prorated refund may be issued for unfinished work.
Governing Law
These Terms are governed by the laws of [Your Country / State]. Any disputes will be resolved in the courts of [Your City / Region], unless otherwise agreed in writing.
Changes to These Terms
We may update these Terms from time to time. Material changes will be noted with a revised "Last Updated" date at the top of this page. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
